C-14, s. 3; R.S., 1985, c. 1 (4th Supp.), s. 44(E); 2002, c. 4, s. 2</HistoricalNoteSubItem></HistoricalNote></Section><Section lims:inforce-start-date="2006-12-12" lims:lastAmendedDate="2006-12-12" lims:fid="61919" lims:id="61919"><MarginalNote lims:inforce-start-date="2006-12-12" lims:fid="61920" lims:id="61920">Appointment of Chairperson and President</MarginalNote><Label>3.1</Label><Subsection lims:inforce-start-date="2006-12-12" lims:fid="61921" lims:id="61921"><Label>(1)</Label><Text>The Chairperson and the President shall be appointed by the Governor in Council to hold office during pleasure for any term that the Governor in Council considers appropriate.</Text></Subsection><Subsection lims:inforce-start-date="2006-12-12" lims:fid="61922" lims:id="61922"><MarginalNote lims:inforce-start-date="2006-12-12" lims:fid="61923" lims:id="61923">Remuneration of Chairperson and President</MarginalNote><Label>(2)</Label><Text>The remuneration of the Chairperson and the President, if they are not members of the federal public administration, shall be fixed by the Governor in Council and paid by the Corporation.</Text></Subsection><Subsection lims:inforce-start-date="2006-12-12" lims:fid="61924" lims:id="61924"><MarginalNote lims:inforce-start-date="2006-12-12" lims:fid="61925" lims:id="61925">Appointment of directors</MarginalNote><Label>(3)</Label><Text>Each director of the Corporation, other than the Chairperson and the President, shall be appointed by the Minister, with the approval of the Governor in Council, to hold office during pleasure for a term not exceeding four years that will ensure, as far as possible, the expiry in any one year of the terms of office of not more than one half of the directors.</Text></Subsection><HistoricalNote><HistoricalNoteSubItem lims:inforce-start-date="2006-12-12" lims:fid="61927" lims:id="61927">2002, c. 4, s. 2; 2003, c. 22, s. 224(E); 2006, c. 9, s. 238</HistoricalNoteSubItem></HistoricalNote></Section><Section lims:inforce-start-date="2002-12-31" lims:lastAmendedDate="2002-12-31" lims:fid="61928" lims:id="61928"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="61929" lims:id="61929">Duties of Chairperson</MarginalNote><Label>3.2</Label><Subsection lims:inforce-start-date="2002-12-31" lims:fid="61930" lims:id="61930"><Label>(1)</Label><Text>The Chairperson shall preside at all meetings of the Board and shall perform any other duties that are assigned by the by-laws or by resolution of the Board.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="61931" lims:id="61931"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="61932" lims:id="61932">Absence of Chairperson</MarginalNote><Label>(2)</Label><Text>If the Chairperson is absent from a meeting, the directors that are present at the meeting shall choose a director to preside at it. For that purpose, the director has all the powers and duties of the Chairperson.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="61933" lims:id="61933"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="61934" lims:id="61934">Duties of President</MarginalNote><Label>(3)</Label><Text>The President is the chief executive officer of the Corporation and has on behalf of the Board the direction and management of the business of the Corporation. The President shall perform any other duties that are assigned by the by-laws or by resolution of the Board.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="61935" lims:id="61935"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="61936" lims:id="61936">Absence or incapacity of President</MarginalNote><Label>(4)</Label><Text>If the President is absent or unable to act or the office of President is vacant, the Board may appoint a director or an officer of the Corporation to act as President and shall fix the remuneration and terms and conditions of the appointment. C-14, s. 7; 2002, c. 4, s. 3</HistoricalNoteSubItem></HistoricalNote></Section><Section lims:inforce-start-date="2002-12-31" lims:lastAmendedDate="2002-12-31" lims:fid="61964" lims:id="61964"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="61965" lims:id="61965">Employment of officers and employees</MarginalNote><Label>8</Label><Subsection lims:inforce-start-date="2002-12-31" lims:fid="61966" lims:id="61966"><Label>(1)</Label><Text>The Corporation may employ such officers or employees as it deems necessary to carry out this Act and may determine their conditions of employment and their remuneration.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="61967" lims:id="61967"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="61968" lims:id="61968">Corporation pays remuneration</MarginalNote><Label>(2)</Label><Text>The remuneration determined under subsection (1) shall be paid by the Corporation.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="61969" lims:id="61969"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="61970" lims:id="61970">Control and supervision</MarginalNote><Label>(3)</Label><Text>The Corporation has, under the Minister, the control and supervision of the officers and employees employed under this Act.</Text></Subsection><HistoricalNote><HistoricalNoteSubItem lims:inforce-start-date="2002-12-31" lims:fid="61972" lims:id="61972">R.S., 1985, c. C-14, s. 8; 2002, c. 4, s. 4(F)</HistoricalNoteSubItem></HistoricalNote></Section><Heading lims:inforce-start-date="2002-12-31" lims:fid="61973" lims:id="61973" level="1"><TitleText>Purposes and Powers of the Corporation</TitleText></Heading><Section lims:inforce-start-date="2002-12-31" lims:lastAmendedDate="2002-12-31" lims:fid="61974" lims:id="61974"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="61975" lims:id="61975">Purposes</MarginalNote><Label>9</Label><Subsection lims:inforce-start-date="2002-12-31" lims:fid="61976" lims:id="61976"><Label>(1)</Label><Text>The Corporation is established for the following purposes:</Text><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="61977" lims:id="61977"><Label>(a)</Label><Text>to assist in the development of trade between Canada and other nations;</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="61978" lims:id="61978"><Label>(b)</Label><Text>to assist persons in Canada</Text><Subparagraph lims:inforce-start-date="2002-12-31" lims:fid="61979" lims:id="61979"><Label>(i)</Label><Text>to obtain goods and commodities from outside Canada, and</Text></Subparagraph><Subparagraph lims:inforce-start-date="2002-12-31" lims:fid="61980" lims:id="61980"><Label>(ii)</Label><Text>to dispose of goods and commodities that are available for export from Canada;</Text></Subparagraph></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="61981" lims:id="61981"><Label>(c)</Label><Text>to exercise or perform, on behalf and under the direction of the Minister, any powers or functions vested in the Minister by any other Act that authorizes the Minister to employ the Corporation to exercise or perform them; and</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="61982" lims:id="61982"><Label>(d)</Label><Text>to exercise or perform any other powers or functions conferred on it by any other Act or for the exercise or performance of which it may be employed under any other Act.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="61983" lims:id="61983"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="61984" lims:id="61984">Directions</MarginalNote><Label>(2)</Label><Text>The Corporation shall comply with any general or special direction given by the Minister with reference to carrying out its purposes.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="61985" lims:id="61985"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="61986" lims:id="61986">Idem</MarginalNote><Label>(3)</Label><Text>Subsections 89(2) to (6) and section 153 of the <XRefExternal reference-type="act" link="F-11">Financial Administration Act</XRefExternal> apply, with such modifications as the circumstances require, to a direction given under subsection (2) as though it were a directive referred to in those provisions.</Text></Subsection><HistoricalNote><HistoricalNoteSubItem lims:inforce-start-date="2002-12-31" lims:fid="61988" lims:id="61988">R.S., c. C-6, s. 4; 1984, c. 31, s. 14</HistoricalNoteSubItem></HistoricalNote></Section><Section lims:inforce-start-date="2002-12-31" lims:lastAmendedDate="2002-12-31" lims:fid="61989" lims:id="61989"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="61990" lims:id="61990">Powers</MarginalNote><Label>10</Label><Subsection lims:inforce-start-date="2002-12-31" lims:fid="61991" lims:id="61991"><Label>(1)</Label><Text>The Corporation may do such things as it deems expedient for, or conducive to, the attainment of the purposes set out in section 9, and, for greater certainty, but not so as to restrict the generality of the foregoing, the Corporation may carry on the business of</Text><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="61992" lims:id="61992"><Label>(a)</Label><Text>importing goods or commodities into Canada; and</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="61993" lims:id="61993"><Label>(b)</Label><Text>exporting goods or commodities from Canada, either as principal or as agent, in such manner and to such extent as it deems advisable to achieve those purposes.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="61994" lims:id="61994"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="61995" lims:id="61995">Generality not restricted</MarginalNote><Label>(2)</Label><Text>The generality of subsection (1) is not restricted by any provision of this Act other than section 9.</Text></Subsection><HistoricalNote><HistoricalNoteSubItem lims:inforce-start-date="2002-12-31" lims:fid="61997" lims:id="61997">R.S., c. C-6, s. 5</HistoricalNoteSubItem></HistoricalNote></Section><Heading lims:inforce-start-date="2002-12-31" lims:fid="61998" lims:id="61998" level="1"><TitleText>Financial Provisions</TitleText></Heading><Section lims:inforce-start-date="2002-12-31" lims:lastAmendedDate="2002-12-31" lims:fid="61999" lims:id="61999"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="62000" lims:id="62000">Grants and advances to Corporation</MarginalNote><Label>11</Label><Subsection lims:inforce-start-date="2002-12-31" lims:fid="62001" lims:id="62001"><Label>(1)</Label><Text>The Minister of Finance shall, on the request of the Minister, from time to time deposit to the credit of the Corporation in the Bank of Canada or in a bank designated by the Minister</Text><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="62002" lims:id="62002"><Label>(a)</Label><Text>an amount or amounts not exceeding in the aggregate ten million dollars to be paid out of unappropriated moneys in the Consolidated Revenue Fund at any time while this Act is in force; and</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="62003" lims:id="62003"><Label>(b)</Label><Text>any other advances or grants to the Corporation that are otherwise authorized to be made by Parliament from the Consolidated Revenue Fund.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="62004" lims:id="62004"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="62005" lims:id="62005">Borrowing power</MarginalNote><Label>(1.1)</Label><Text>The Corporation may borrow moneys from the Consolidated Revenue Fund or any other source for any purpose for which the Corporation was established, but the total amount outstanding on all of those loans at any time shall not exceed $90 million or any greater amount that may be specified in an appropriation Act.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="62006" lims:id="62006"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="62007" lims:id="62007">Loans to the Corporation</MarginalNote><Label>(2)</Label><Text>The Minister of Finance may lend moneys from the Consolidated Revenue Fund to the Corporation on any terms and conditions that the Minister of Finance may determine.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="62008" lims:id="62008"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="62009" lims:id="62009">Corporation to retain moneys</MarginalNote><Label>(3)</Label><Text>Subject to repayment of the loans made under subsection (2), the Corporation shall retain, for the purposes of this Act, all moneys received by it in the course of its business.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="62010" lims:id="62010"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="62011" lims:id="62011">Charges</MarginalNote><Label>(4)</Label><Text>The Corporation may charge any amount that it considers appropriate for providing services to a person, department or agency, including an amount to cover the risk of any loss that the Corporation may incur as a result of a default or failure by that person, department or agency in respect of a transaction entered into with any of them.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="62012" lims:id="62012"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="62013" lims:id="62013">Administration of moneys</MarginalNote><Label>(5)</Label><Text>All moneys that are placed to its credit under this section and all moneys received by it in the course of its business shall be administered by the Corporation exclusively in furtherance of the purposes for which it is constituted.</Text></Subsection><HistoricalNote><HistoricalNoteSubItem lims:inforce-start-date="2002-12-31" lims:fid="62015" lims:id="62015">R.S., 1985, c.
