lims:lastAmendedDate="2003-01-01" lims:fid="1251" lims:id="1251"><MarginalNote lims:inforce-start-date="2003-01-01" lims:fid="1252" lims:id="1252">Definitions</MarginalNote><Label>2</Label><Subsection lims:inforce-start-date="2003-01-01" lims:fid="1253" lims:id="1253"><Label>(1)</Label><Text>In this Act,</Text><Definition lims:inforce-start-date="2003-01-01" lims:fid="1254" lims:id="1254"><Text><DefinedTermEn>Corporation</DefinedTermEn> means Air Canada, a corporation continued by the <XRefExternal reference-type="act">Air Canada Act</XRefExternal>; (<DefinedTermFr>Société</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2003-01-01" lims:fid="1255" lims:id="1255"><Text><DefinedTermEn>Minister</DefinedTermEn> means the President of the Queen’s Privy Council or such other member of the Queen’s Privy Council for Canada as may be designated by the Governor in Council as the Minister for the purposes of this Act. (<DefinedTermFr>ministre</DefinedTermFr>)</Text></Definition></Subsection><Subsection lims:inforce-start-date="2003-01-01" lims:fid="1256" lims:id="1256"><MarginalNote lims:inforce-start-date="2003-01-01" lims:fid="1257" lims:id="1257">Same meaning</MarginalNote><Label>(2)</Label><Text>Unless a contrary intention appears, words and expressions used in this Act have the same meaning as in the <XRefExternal reference-type="act" link="C-44">Canada Business Corporations Act</XRefExternal>.</Text></Subsection><Subsection lims:inforce-start-date="2003-01-01" lims:fid="1258" lims:id="1258"><MarginalNote lims:inforce-start-date="2003-01-01" lims:fid="1259" lims:id="1259">Operation of <XRefExternal reference-type="act" link="C-44">Canada Business Corporations Act</XRefExternal></MarginalNote><Label>(3)</Label><Text>In the event of any inconsistency between this Act and the <XRefExternal reference-type="act" link="C-44">Canada Business Corporations Act</XRefExternal>, or anything issued, made or established under that Act, this Act prevails to the extent of the inconsistency.</Text></Subsection><Subsection lims:inforce-start-date="2003-01-01" lims:fid="1260" lims:id="1260"><MarginalNote lims:inforce-start-date="2003-01-01" lims:fid="1261" lims:id="1261">Operation of <XRefExternal reference-type="act" link="C-34">Competition Act</XRefExternal></MarginalNote><Label>(4)</Label><Text>Nothing in, or done under the authority of, this Act affects the operation of the <XRefExternal reference-type="act" link="C-34">Competition Act</XRefExternal> in respect of the acquisition of any interest in the lims:inforce-start-date="2003-01-01" lims:fid="1265" lims:id="1265">Binding on the Crown</MarginalNote><Label>3</Label><Text>This Act is binding on Her Majesty in right of Canada or a province.</Text></Section><Heading lims:inforce-start-date="2003-01-01" lims:fid="1266" lims:id="1266" level="1"><TitleText>Transfer of Shares to Minister</TitleText></Heading><Section lims:inforce-start-date="2003-01-01" lims:lastAmendedDate="2003-01-01" lims:fid="1267" lims:id="1267"><MarginalNote lims:inforce-start-date="2003-01-01" lims:fid="1268" lims:id="1268">Transfer of Air Canada shares</MarginalNote><Label>4</Label><Subsection lims:inforce-start-date="2003-01-01" lims:fid="1269" lims:id="1269"><Label>(1)</Label><Text>Notwithstanding subsection 13(3) of the <XRefExternal reference-type="act">Air Canada Act</XRefExternal>, the shares of the Corporation held by the Minister of Transport in trust for Her Majesty in right of Canada are hereby transferred to the Minister, who is hereby authorized to acquire the shares.</Text></Subsection><Subsection lims:inforce-start-date="2003-01-01" lims:fid="1270" lims:id="1270"><MarginalNote lims:inforce-start-date="2003-01-01" lims:fid="1271" lims:id="1271">Registration and holding of shares</MarginalNote><Label>(2)</Label><Text>The shares transferred to the Minister pursuant to subsection (1) shall be registered in the books of the Corporation in the name of the Minister and shall be held by the Minister in trust for Her Majesty in right of Canada.</Text></Subsection></Section><Heading lims:inforce-start-date="2003-01-01" lims:fid="1272" lims:id="1272" level="1"><TitleText>Continuance</TitleText></Heading><Section lims:inforce-start-date="2003-01-01" lims:lastAmendedDate="2003-01-01" lims:fid="1273" lims:id="1273"><MarginalNote lims:inforce-start-date="2003-01-01" lims:fid="1274" lims:id="1274">Submission of draft application</MarginalNote><Label>5</Label><Subsection lims:inforce-start-date="2003-01-01" lims:fid="1275" lims:id="1275"><Label>(1)</Label><Text>The Corporation shall submit an application for a certificate of continuance of the Corporation under section 187 of the <XRefExternal reference-type="act" link="C-44">Canada Business Corporations Act</XRefExternal> to the Minister for approval.</Text></Subsection><Subsection lims:inforce-start-date="2003-01-01" lims:fid="1276" lims:id="1276"><MarginalNote lims:inforce-start-date="2003-01-01" lims:fid="1277" lims:id="1277">Submission to Director</MarginalNote><Label>(2)</Label><Text>Forthwith after the Minister approves an application submitted pursuant to subsection (1), the Corporation shall submit the approved application to the Director.</Text></Subsection><Subsection lims:inforce-start-date="2003-01-01" lims:fid="1278" lims:id="1278"><MarginalNote lims:inforce-start-date="2003-01-01" lims:fid="1279" lims:id="1279">Presumption</MarginalNote><Label>(3)</Label><Text>An application submitted to the Director pursuant to this section is, subject to this Act, deemed for all purposes to have been made under subsection 187(1) of the <XRefExternal reference-type="act" link="C-44">Canada Business Corporations Act</XRefExternal>.</Text></Subsection><HistoricalNote><HistoricalNoteSubItem provisions in articles of continuance</MarginalNote><Label>6</Label><Subsection lims:inforce-start-date="2018-06-27" lims:fid="1284" lims:id="1284"><Label>(1)</Label><Text>The articles of continuance of the Corporation shall contain</Text><Paragraph lims:inforce-start-date="2018-06-27" lims:fid="1285" lims:id="1285"><Label>(a)</Label><Text><Repealed>[Repealed, 2001, c. 35, s. 1]</Repealed></Text></Paragraph><Paragraph lims:inforce-start-date="2018-06-27" lims:fid="1286" lims:id="1286"><Label>(b) and (c)</Label><Text><Repealed>[Repealed, 2018, c. 10, s. 90]</Repealed></Text></Paragraph><Paragraph lims:inforce-start-date="2018-06-27" lims:fid="1287" lims:id="1287"><Label>(d)</Label><Text>provisions requiring the Corporation to carry out or cause to be carried out aircraft maintenance activities, including maintenance of any type relating to airframes, engines, components, equipment or parts, in Ontario, Quebec and Manitoba; and</Text></Paragraph><Paragraph lims:inforce-start-date="2018-06-27" lims:fid="1288" lims:id="1288"><Label>(e)</Label><Text>provisions specifying that the head office of the Corporation is to be situated in the Montreal Urban Community.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2018-06-27" lims:fid="1289" lims:id="1289"><Label>(2) and (3)</Label><Text><Repealed>[Repealed, 2018, c. 10, s. 90]</Repealed></Text></Subsection><Subsection lims:inforce-start-date="2018-06-27" lims:fid="1290" lims:id="1290"><MarginalNote lims:inforce-start-date="2018-06-27" lims:fid="1291" lims:id="1291">Maintenance activities</MarginalNote><Label>(4)</Label><Text>For the purpose of carrying out or causing to be carried out the aircraft maintenance activities referred to in paragraph (1)(d) in Ontario, Quebec and Manitoba, the Corporation may, while not eliminating those activities in any of those provinces, change the type or volume of any or all of those activities in each of those provinces, as well as the level of employment in any or all of those activities.</Text></Subsection><Subsection lims:inforce-start-date="2018-06-27" lims:fid="1292" lims:id="1292"><Label>(5)</Label><Text><Repealed>[Repealed, 2001, c. 35, s. 1]</Repealed></Text></Subsection><Subsection <DefinitionRef>aircraft</DefinitionRef></MarginalNote><Label>(6)</Label><Text>In this section, <DefinedTermEn>aircraft</DefinedTermEn> has the same meaning as in subsection 3(1) of the <XRefExternal reference-type="act" link="A-2">Aeronautics Act</XRefExternal>.</Text></Subsection><Subsection lims:inforce-start-date="2018-06-27" lims:fid="1295" lims:id="1295"><Label>(6.1) and lims:inforce-start-date="2003-01-01" lims:fid="1299" lims:id="1299">Restriction on amendment</MarginalNote><Label>7</Label><Text>The Corporation and its shareholders and directors shall not</Text><Paragraph lims:inforce-start-date="2003-01-01" lims:fid="1300" lims:id="1300"><Label>(a)</Label><Text>apply for continuance of the Corporation in another jurisdiction; or</Text></Paragraph><Paragraph lims:inforce-start-date="2003-01-01" lims:fid="1301" lims:id="1301"><Label>(b)</Label><Text>make any articles or by-laws that are inconsistent with the provisions included in its articles of continuance pursuant to subsection 6(1).</Text></Paragraph></Section><Heading lims:inforce-start-date="2003-01-01" lims:fid="1302" lims:id="1302" level="1"><TitleText>Share Transactions</TitleText></Heading><Section lims:inforce-start-date="2003-01-01" lims:lastAmendedDate="2003-01-01" lims:fid="1303" lims:id="1303"><MarginalNote lims:inforce-start-date="2003-01-01" lims:fid="1304" lims:id="1304">Dealing with shares, etc., by Minister</MarginalNote><Label>8</Label><Subsection lims:inforce-start-date="2003-01-01" lims:fid="1305" lims:id="1305"><Label>(1)</Label><Text>The Minister is hereby authorized to</Text><Paragraph lims:inforce-start-date="2003-01-01" lims:fid="1306" lims:id="1306"><Label>(a)</Label><Text>acquire, hold, dispose of and otherwise deal with shares or debt obligations of, or any security interest in, the Corporation; and</Text></Paragraph><Paragraph lims:inforce-start-date="2003-01-01" lims:fid="1307" lims:id="1307"><Label>(b)</Label><Text>enter into any agreement or arrangement necessary or incidental to any activity referred to in paragraph (a).</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2003-01-01" lims:fid="1308" lims:id="1308"><MarginalNote lims:inforce-start-date="2003-01-01" lims:fid="1309" lims:id="1309">Issue and disposal of shares by Corporation</MarginalNote><Label>(2)</Label><Text>The Corporation is hereby authorized to issue and sell or otherwise dispose of shares of the Corporation.</Text></Subsection></Section><Heading lims:inforce-start-date="2003-01-01" lims:fid="1310" lims:id="1310" level="1"><TitleText>General</TitleText></Heading><Section lims:inforce-start-date="2003-01-01" lims:lastAmendedDate="2003-01-01" lims:fid="1311" lims:id="1311"><MarginalNote lims:inforce-start-date="2003-01-01" lims:fid="1312" lims:id="1312">Name</MarginalNote><Label>9</Label><Text>Notwithstanding subsection 10(1) of the <XRefExternal reference-type="act" link="C-44">Canada Business Corporations Act</XRefExternal>, the Corporation may continue to use and be legally designated by the name “Air Canada” on and after the day on which it becomes a corporation to which that Act applies.</Text><HistoricalNote><HistoricalNoteSubItem lims:inforce-start-date="2003-01-01" lims:fid="1314" lims:id="1314">R.S., 1985, c. 35 (4th Act</XRefExternal></MarginalNote><Label>10</Label><Subsection lims:inforce-start-date="2003-01-01" lims:fid="1317" lims:id="1317"><Label>(1)</Label><Text>The <XRefExternal reference-type="act" link="O-3.01">Official Languages Act</XRefExternal> applies to the Corporation.</Text></Subsection><Subsection lims:inforce-start-date="2003-01-01" lims:fid="1318" lims:id="1318"><MarginalNote lims:inforce-start-date="2003-01-01" lims:fid="1319" lims:id="1319">Duty re subsidiaries</MarginalNote><Label>(2)</Label><Text>Subject to subsection (5), if air services, including incidental services, are provided or made available by a subsidiary of the Corporation, the Corporation has the duty to ensure that any of the subsidiary’s customers can communicate with the subsidiary in respect of those services, and obtain those services from the subsidiary, in either official language in any case where those services, if provided by the Corporation, would be required under Part IV of the <XRefExternal reference-type="act" link="O-3.01">Official Languages Act</XRefExternal> to be provided in either official language.</Text></Subsection><Subsection lims:inforce-start-date="2003-01-01" lims:fid="1320" lims:id="1320"><MarginalNote lims:inforce-start-date="2003-01-01" lims:fid="1321" lims:id="1321">Subsidiary body corporate</MarginalNote><Label>(3)</Label><Text>For the purposes of this section, a body corporate is a subsidiary of the Corporation if</Text><Paragraph lims:inforce-start-date="2003-01-01" lims:fid="1322" lims:id="1322"><Label>(a)</Label><Text>it is controlled by</Text><Subparagraph lims:inforce-start-date="2003-01-01" lims:fid="1323" lims:id="1323"><Label>(i)</Label><Text>the Corporation,</Text></Subparagraph><Subparagraph lims:inforce-start-date="2003-01-01" lims:fid="1324" lims:id="1324"><Label>(ii)</Label><Text>the Corporation and one or more bodies corporate each of which is controlled by the Corporation, or</Text></Subparagraph><Subparagraph lims:inforce-start-date="2003-01-01" lims:fid="1325" lims:id="1325"><Label>(iii)</Label><Text>two or more bodies corporate each of which is controlled by the Corporation; or</Text></Subparagraph></Paragraph><Paragraph lims:inforce-start-date="2003-01-01" lims:fid="1326" lims:id="1326"><Label>(b)</Label><Text>it is a subsidiary of a body corporate that is a subsidiary of the Corporation.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2003-01-01" lims:fid="1327" lims:id="1327"><MarginalNote lims:inforce-start-date="2003-01-01" lims:fid="1328" lims:id="1328">Control</MarginalNote><Label>(4)</Label><Text>For the purposes of subsection (3), a body corporate is controlled by another body corporate if</Text><Paragraph lims:inforce-start-date="2003-01-01" lims:fid="1329" lims:id="1329"><Label>(a)</Label><Text>securities of the body corporate to which are attached more than 50% of the votes that may be cast to elect directors of the body corporate are held, other than by way of security only, by or for the benefit of the other body corporate; and</Text></Paragraph><Paragraph lims:inforce-start-date="2003-01-01" lims:fid="1330" lims:id="1330"><Label>(b)</Label><Text>the votes attached to those securities are sufficient, if exercised, to elect a majority of the directors of the body corporate.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2003-01-01" lims:fid="1331" lims:id="1331"><MarginalNote lims:inforce-start-date="2003-01-01" lims:fid="1332" lims:id="1332">Application of subsection (2)</MarginalNote><Label><FootnoteRef idref="A-10.1_en_25">*</FootnoteRef>(5)</Label><Text>Subsection (2) applies</Text><Paragraph lims:inforce-start-date="2003-01-01" lims:fid="1333" lims:id="1333"><Label>(a)</Label><Text>in respect of air services, including incidental services, provided or made available by a subsidiary of the Corporation at a facility or office in Manitoba, British Columbia, Saskatchewan, Alberta, the Yukon Territory, the Northwest Territories or Nunavut or on a route wholly within those provinces, one year after that subsection comes into force if it had been a subsidiary of the Corporation on that coming into force; and</Text></Paragraph><Paragraph lims:inforce-start-date="2003-01-01" lims:fid="1334" lims:id="1334"><Label>(b)</Label><Text>in respect of a person that becomes a subsidiary of the Corporation only after that subsection comes into force, or in respect of Canadian Airlines International Ltd. or Canadian Regional Airlines Ltd. if that airline becomes a subsidiary of the Corporation before that subsection comes into force, three years after the person or airline becomes a subsidiary.</Text><Footnote id="A-10.1_en_25" placement="section" status="editorial" xml:space="default"><Label>*</Label><Text>[Note: Subsection 10(2) in force July 5, 2000, <Emphasis style="italic">see</Emphasis> SI/2000-59.]</Text></Footnote></Paragraph></Subsection><Subsection lims:inforce-start-date="2003-01-01" lims:fid="1335" lims:id="1335"><MarginalNote lims:inforce-start-date="2003-01-01" lims:fid="1336" lims:id="1336">Extension</MarginalNote><Label>(6)</Label><Text>The Governor in Council may, by order made on the recommendation of the Minister of Transport, increase the three years referred to in paragraph (5)(b) to a maximum of four years in respect of a route served, or an office or facility from which service is provided, by a subsidiary.</Text></Subsection><Subsection lims:inforce-start-date="2003-01-01" lims:fid="1337" lims:id="1337"><MarginalNote lims:inforce-start-date="2003-01-01" lims:fid="1338" lims:id="1338">Duties of replacements</MarginalNote><Label>(7)</Label><Text>If Canadian Airlines International Ltd., Canadian Regional Airlines Ltd. or a subsidiary of the Corporation replaces the Corporation or one of its subsidiaries in providing an air service, including incidental services, that the Corporation or the subsidiary provided on or after December 21, 1999, the Corporation has the duty to ensure that any of the customers of the person who replaces the Corporation or the subsidiary can communicate with that person in respect of those services, and obtain those services from that person, in either official language in any case where those services, if provided by the Corporation or the subsidiary, would be required under Part IV of the <XRefExternal reference-type="act" link="O-3.01">Official Languages Act</XRefExternal> or under subsection (2) to be provided in either official language.</Text></Subsection><Subsection lims:inforce-start-date="2003-01-01" lims:fid="1339" lims:id="1339"><MarginalNote lims:inforce-start-date="2003-01-01" lims:fid="1340" lims:id="1340">For greater certainty</MarginalNote><Label>(8)</Label><Text>For greater certainty, subsections (2) and (7) do not affect any duty that the Corporation may have under section 25 of the <XRefExternal reference-type="act" link="O-3.01">Official Languages Act</XRefExternal>.</Text></Subsection><Subsection lims:inforce-start-date="2003-01-01" lims:fid="1341" lims:id="1341"><MarginalNote lims:inforce-start-date="2003-01-01" lims:fid="1342" lims:id="1342">Deemed duty</MarginalNote><Label>(9)</Label><Text>For the purposes of Parts VIII, IX and X of the <XRefExternal reference-type="act" link="O-3.01">Official Languages Act</XRefExternal>, the duties referred to in subsections (2) and (7) are deemed to be duties under Part IV of that Act.</Text></Subsection><Subsection lims:inforce-start-date="2003-01-01" lims:fid="1343" lims:id="1343"><MarginalNote lims:inforce-start-date="2003-01-01" lims:fid="1344" lims:id="1344">Definitions</MarginalNote><Label>(10)</Label><Text>The definitions in this subsection apply in this section.</Text><Definition lims:inforce-start-date="2003-01-01" lims:fid="1345" lims:id="1345"><Text><DefinedTermEn>air service</DefinedTermEn> has the same meaning as in subsection 55(1) of the <XRefExternal reference-type="act" link="C-10.4">Canada Transportation Act</XRefExternal>. (<DefinedTermFr>service aérien</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2003-01-01" lims:fid="1346" lims:id="1346"><Text><DefinedTermEn>customer</DefinedTermEn> means, in respect of a subsidiary referred to in subsection (2) or (7), a passenger, shipper or consignee using or intending to use an air service, including incidental services, provided or made available by that subsidiary. (<DefinedTermFr>client</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2003-01-01" lims:fid="1347" lims:id="1347"><Text><DefinedTermEn>incidental services</DefinedTermEn> include, in respect of a subsidiary referred to in subsection (2) or (7),</Text><Paragraph lims:inforce-start-date="2003-01-01" lims:fid="1348" lims:id="1348"><Label>(a)</Label><Text>ticketing and reservation services;</Text></Paragraph><Paragraph lims:inforce-start-date="2003-01-01" lims:fid="1349" lims:id="1349"><Label>(b)</Label><Text>information, including notices and announcements, that it publishes or causes to be published to inform its customers in respect of its routes or tariffs;</Text></Paragraph><Paragraph lims:inforce-start-date="2003-01-01" lims:fid="1350" lims:id="1350"><Label>(c)</Label><Text>services provided or made available to customers at an airport, including the control of passengers embarking and disembarking aircraft, announcements directed at customers and counter services; and</Text></Paragraph><Paragraph lims:inforce-start-date="2003-01-01" lims:fid="1351" lims:id="1351"><Label>(d)</Label><Text>services related to baggage or freight claims and client relations. (<DefinedTermFr>services connexes</DefinedTermFr>)</Text></Paragraph></Definition><Definition lims:inforce-start-date="2003-01-01" lims:fid="1352" lims:id="1352"><Text><DefinedTermEn>route</DefinedTermEn> means, in respect of a subsidiary of the Corporation, a route on which the subsidiary provides a two-way air service between the starting and finishing points of that service by a single conveyance, with or without intermediate stops. (<DefinedTermFr>trajet</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2003-01-01" lims:fid="1353" lims:id="1353"><Text><DefinedTermEn>shipper</DefinedTermEn> has the same meaning as in section 6 of the <XRefExternal reference-type="act" link="C-10.4">Canada Transportation approval</MarginalNote><Label>10.1</Label><Subsection lims:inforce-start-date="2007-06-22" lims:fid="1358" lims:id="1358"><Label>(1)</Label><Text>The proposed acquisition described in a letter dated December 21, 1999 from 853350 Alberta Ltd. and Air Canada to the Minister of Transport is deemed to be a transaction that has been approved by the Governor in Council under subsection 53.2(7) of the <XRefExternal reference-type="act" link="C-10.4">Canada Transportation Act</XRefExternal> on the day on which that subsection comes into force.</Text></Subsection><Subsection lims:inforce-start-date="2007-06-22" lims:fid="1359" lims:id="1359"><MarginalNote lims:inforce-start-date="2007-06-22" lims:fid="1360" lims:id="1360">Deemed terms and conditions</MarginalNote><Label>(2)</Label><Text>The undertakings provided by 853350 Alberta Ltd. and Air Canada to the Minister of Transport in the letter referred to in subsection (1) are deemed to be terms and conditions specified in an approval by the Governor in Council under subsection 53.2(7) of the <XRefExternal reference-type="act" link="C-10.4">Canada Transportation Act</XRefExternal> that relate to national transportation concerns, and the undertakings provided by 853350 Alberta Ltd. and Air Canada to the Commissioner of Competition that are set out in Annex A to a letter from the Commissioner dated December 21, 1999 in respect of the acquisition referred to in that subsection are deemed to be terms and conditions of an approval under subsection 53.2(7) of the <XRefExternal reference-type="act" link="C-10.4">Canada Transportation Act</XRefExternal> that relate to potential prevention or lessening of competition.</Text></Subsection><Subsection lims:inforce-start-date="2007-06-22" lims:fid="1361" lims:id="1361"><MarginalNote lims:inforce-start-date="2007-06-22" lims:fid="1362" lims:id="1362">Deemed affiliates</MarginalNote><Label>(3)</Label><Text>For the purposes of sections 45 and 61 of the <XRefExternal reference-type="act" link="C-34">Competition Act</XRefExternal>, Canadian Airlines Corporation, Canadian Airlines International Ltd. and Canadian Regional Airlines Ltd. are deemed to be affiliates of Air Canada in respect of any thing they do after December 21, 1999 and before the earlier of the coming into force of this subsection and the day on which the undertakings referred to in subsection (2) cease to have effect.</Text></Subsection><Subsection lims:inforce-start-date="2007-06-22" lims:fid="1363" lims:id="1363"><MarginalNote lims:inforce-start-date="2007-06-22" lims:fid="1364" lims:id="1364">If undertakings cease to have effect</MarginalNote><Label>(4)</Label><Text>The Governor in Council may, by order, declare that 853350 Alberta Ltd. and Air Canada are not subject to the terms and conditions referred to in subsection (2) if the undertakings cease to have effect and are not revived in the circumstances described in</Text><Paragraph lims:inforce-start-date="2007-06-22" lims:fid="1365" lims:id="1365"><Label>(a)</Label><Text>the paragraph entitled “Effective Date” in the letter referred to in subsection (1); and</Text></Paragraph><Paragraph lims:inforce-start-date="2007-06-22" lims:fid="1366" lims:id="1366"><Label>(b)</Label><Text>undertaking #15, set out in Annex A referred to in subsection (2).</Text></Paragraph></Subsection><Subsection becomes a corporation to which the <XRefExternal reference-type="act" link="C-44">Canada Business Corporations Act</XRefExternal> applies continue to hold office according to the terms of their lims:id="1377">Directors cease to hold office</MarginalNote><Label>(2)</Label><Text>The members of the Board of Directors of the Corporation cease to hold office at the close of the first annual meeting of shareholders of the Corporation held after the issuance date, which meeting shall be held not later than six months following the end of the Corporation’s financial year in which that date compensation</MarginalNote><Label>(3)</Label><Text>No person has any right to claim or receive any compensation, damages, indemnity or other form of relief from Her Majesty in right of Canada or any
